Master Infrastructure & Services Agreement (MISA)

Cosmic Spark | Revision 4.0 (April 2026)

1. Provision of Sovereign Infrastructure

By engaging Cosmic Spark for the procurement of high-performance computing (HPC) stacks, bespoke system architectures, or architectural auditing, the Client acknowledges a binding commitment to these terms. This agreement governs the deployment of Mission-Critical Infrastructure and associated technical intellectual property.

2. Tiered Service Modalities

Cosmic Spark operates across three primary enterprise verticals:

  • Architectural Synthesis: Engineering of custom HPC stacks with hardware-level performance tuning.

  • Institutional Empowerment: Deployment of scalable hardware ecosystems for research and academic advancement.

  • Infrastructure Audit: High-level diagnostic and optimization services for existing server environments.

3. Performance Integrity & Environmental Governance

  • Validation Parameters: Systems are delivered as Validated Stacks. Unauthorized modifications to low-level firmware, BIOS voltage offsets, or silicon-level logic gates by the Client will terminate the validation guarantee and shift all operational risk to the Client.

  • Thermal Compliance: The Client is mandated to provide a facility environment that meets the specified Thermal Envelope. Cosmic Spark maintains no liability for hardware attrition caused by environmental non-compliance or deviations from professional data center cooling standards.

4. Intellectual Property & "Black Box" Sovereignty

  • Design Equity: Cosmic Spark retains exclusive Intellectual Property (IP) rights to all proprietary optimization protocols and unique architectural blueprints developed during the commissioning phase, unless superseded by an explicit IP Transfer Clause in a bespoke contract.

  • Reverse Engineering: Commercial redistribution or the extraction of proprietary logic from Cosmic Spark infrastructure is strictly prohibited under international trade secret protections.

5. Enterprise Risk Mitigation & Liability

Cosmic Spark provides elite-tier tools for high-stakes environments. We operate under a Strict Limitation of Liability model:

  • Data Redundancy: The Client maintains sole responsibility for data backups. Cosmic Spark is not liable for data loss during extreme-throughput operations.

  • Operational Latency: We are not liable for incidental downtime resulting from the "breaking-in" or optimization phases required for flagship-tier silicon.

  • Consequential Loss: Our liability is limited to the repair or replacement of the hardware itself, excluding any indirect financial or consequential business losses.

6. Power Delivery & Infrastructure Prerequisites

The Client warrants that their facility’s electrical infrastructure is rated for the Peak Load requirements of the commissioned hardware. Cosmic Spark assumes no responsibility for circuit instability or failures in the Client’s localized power grid.

7. Fiscal Terms & Engagement Protocol

  • Procurement Fee: A non-refundable 50% Hardware Acquisition Fee is required to initiate a build.

  • Final Settlement: The remaining 50% Balance is due upon the delivery of the Certified Benchmark & Validation Report.

  • Professional Reciprocity: We reserve the right to cease infrastructure support if the professional standards required for complex systems engineering are not maintained.

8. The Strategic Educational Initiative (CSR Framework)

For every $1,000.00 USD (or equivalent) of capital expenditure, Cosmic Spark allocates Ten (10) ESP32-based Microcontroller Units and associated documentation to the Client’s Incentive Ledger.

  • 8.1 Corporate Autonomy: The Client holds absolute title to these units. They may be utilized for internal R&D, Corporate Social Responsibility (CSR) donations, or redistributed to academic institutions of the Client’s choosing.

  • 8.2 Distribution Logistics: Units are dispatched with the primary build. Secondary global shipping or localized distribution is the sole responsibility of the Client.

  • 8.3 Documentation Tier: These units are provided with "Base-Level" technical documentation. Advanced bespoke firmware engineering for these units remains outside the scope of the primary contract.

  • 8.4 Indemnification: Cosmic Spark is indemnified against all claims arising from the secondary distribution or third-party utilization of these incentive units.
